The articles of association of the association form the legal basis for its existence and conduct. They are drafted as a formal statute and comply with the requirements applicable to associations under Luxembourg law, in particular with regard to the definition of name, registered office, purpose, membership relations as well as the composition and tasks of the governing bodies. They also specify the internal procedures, for example concerning the convening and decision‑making of the members’ meeting as well as the appointment and functions of the management bodies.
The present version is drafted in French and represents the currently valid, definitively adopted text of the articles of association. As such, this document serves as a binding reference for all members, the governing bodies and third parties entering into legal or commercial relations with the association. Amendments to the articles of association may only be adopted by the competent members’ meeting in accordance with the quorum and voting rules set out therein, and thus remain within the limits of Luxembourg statutory law.
